The board of directors are appointed in order to act on the behalf of the stakeholders to
help the business organization run its day to day affairs. The board of directors are thus known
for conducting meeting with the stakeholder annually to get a viewpoint what they think
regarding the business process. According to the author Yahaya & Ebrahim (2016) after few of
the researches initiated it has been found out that they have identified a link between the
corporate board and the firm performance. The board meetings are therefore considered to be
very important as because t helps the board of members to directly evaluate the future plans and
as well as develop various types of strategies to help increase the performance of the business.
According to the author Anderson & Sun (2017) other from the initial understanding
about key performances the board of directors are known for dealing with the financial issues,
issues relating to corporate governance, corporate social responsibilities and discuss the relevant
strategies for further improvement.
Regarding the primary expertise which are required in the board of directors for Amgen
INC are that they should be able to ensure effective communication skills with the stakeholders,
understand and take into account interest of the relevant stakeholders. Should be capable of
monitoring the relationship developed with the stakeholders. However they should also have the
quality of promoting goodwill to the stakeholders involved with the company. The secondary
expertise which are required in order to be a member of the board of directors are that they
should be able to delegate authority, manage things, monitor, evaluate and implement things to
brings changes in the organization. They should also ensure that the internal controls are
effective so as by determining that the internal controls are being monitored.
