2BUSINESS AND COMPANY LAWSchwartz: In the matter of Babybelle Pty Ltd (ACN 116 052 683) [2007] FCA 1469(September 2007)a.The relevant facts of the case: In this case the fact is Babybelle Pty Ltd is an organization which is owned by Mr.Schwartz and also the director of the company. He has appointed another director for thecompany. It has been found that Mr. Schwartz has been disqualified for the failure tomanage the corporation according to the regulations (du Plessis and De Koker 2017). b.The major legal issues: The legal issues has been found that Mr. Schwartz has been granted a leave for managethe organization under the sec- 206G of the Corporation Act 2001 (cth). However thecourt has been found that the application is not formed according to the terms andconditions of the organization and he also appointed another director for the company (duPlessis and De Koker 2017). Mr. Goodman is the new appointed director who was notappointed according to the terms of the company regulations. Another legal issue hasbeen found when Mr. Schwartz changed the office address 22 O’Loughlin Street,Ormond to in his own resident address. It was found that until 1 March 2007 the officeaddress was same and later it has been found to change another address (Coffee, Sale andHenderson 2015). According to the case study, it has been found that Mr. Schwartz breaches hisduty toward the office and as a solo director it is his duty to provide every services(Hiller, 2013). The organization provides the services of sports equipments, heated towelrails and spa pools.
