INTRODUCTION
Business law is a terminology that makes by government and it consists rules,
regulations and legislations which are control by Acts. This business law is also known as
mercantile law or commercial law (Bernstein, Korteweg and Laws, 2017). This focuses on
businesses and gives them right direction. Government makes rules, policies and various
strategies which can be applied in businesses. In this report, it covers the nature of English Legal
System and thereafter this report focuses on the Role of Government in making law and how
Common and Statutory Laws applied in courts. In addition to this context, it describes the
Appropriate legal solutions for the range of business problems in Country Pine. Lastly it
completes with Recommendation of the solutions which is based on the country's legal system
and/or a different framework.

Nature of English Legal System
In UK, there is a common law system which operates by two nations; Wales and
England. This English law system is control and regulate by Parliament. This is known as House
of Lords and House of Commons. In that country, people choose the members of House of
Commons threw elections and their Prime Minister is also traditionally a common member of
that House (Clark, 2016). There are also a judiciary committee which regulates the English Law
System and it is purely separate from the Parliament. This judiciary committee follow a process
that makes control on over the case laws and the court system. There are various courts for
different type of cases and they have several branches for solving these cases and conflicts.
There are different types of court for different kinds of laws like civil law court, criminal
law court, commercial law court etc. In the process of solving issues and problems among people
or organizations, these courts play an essential role for helping them. They make different types
of laws, acts and rules for their principles and statutory requirements. There are also a procedure
for any requirement of amendments and replacement. In this point of view, the common law
accesses crime and criminal issue related problems (Cohn, 2016). There are some sources of law
which are as according.

1. Case Law – it is the source of law which is originated in England. This is describes as
law which is made by various judges in the prescribed form. This rules and decisions
made by courts that become a bounding on the every person and entity.
2. Administrative Law – it is criteria of administrations agencies. It applies to enforce to
the goals of specific rules, regulations and also legislative issues (Ghemawat, 2016). This
is all generates for the conduct of their goals.
3. Statutory Law – this type of source of law makes by local and state authorities and also
bound by federal statutes. The government and their legislative arm developed this type
of source and the power of the legislature has provided by the constitution.
4. Constitutional Law – it is refers as top law of land. The constitutional enforced on each
and every law and these cannot pass without the constitution. All amendments and
replacements id depends on this procedure of constitution.
5. Common Law – it covers all areas and this is not for specifically covered by any
statutory law (Jansen, 2017). This type of source contains the whole body of law which
evolved through last court decisions.
6. International Law – the international law consists the body of law which observed by
the nation and it governs the act of government as well as the individual person. In this
type, there are included conventions and laws that are arrived by international treaty.

For making a law or act, the government follows a special procedure and many laws that
are first pass in parliament and this process is start from the proposals which is made by the
government. These governmental proposals have a special aim to shape the society in a proper
manner and have also addressed special problems. These laws and acts takes a time period for
make an act. For making laws, the government follow a special process which is as follows:
1. Conferencing – In law making, this is the first stage and here the ruling party conference
gives their clear vision, direction and goals. At this conference, there are debates on
particular issues and later discussions are done about proposal (Maheshwari, 2015). In
this stage, the party will describe their proper vision and makes new policies, and laws.
2. Executive draws up – The second stage of law making is draws up step. In this step the
executive or ministry draws up. This process held at national level and the ruling party

attempt to divert its party to the official government policy which is prescribed by the
constitution. There are some duties which are generates for the executive branch of the
government to build the new laws and policies.
3. Finalising the Policy – This is the third step where the policy gets finalised by the related
Ministries and Departments (Nägele and et.al, 2016). They look for options and issues
and then draw up a final policy which is published in white paper in proper manner.
4. Approval – in this stage the bill is approved in both Houses the House of common and
House of lords. Both the Houses should agree on the final shape of bill.
5. An Act – at this stage there are all procedures completed and the bill become an Act that
are applied for everyone.
Law applicable in court:
Common Law - Common law is defined as procedural rules that have been made by the
judges in the process of case solving. The common law also known as substantive law is
applied in court in specific manner (Roth and et.al 2017). This will help the court for
solving business issues and conflicts.
Statutory Law – This is an essential law created by the Parliament and is applied in the
form of legislation. The statutory law is significantly increased and the court still played
an important role.

In the Country Pine business, there are many potential impacts related to these laws. The
contract law and employment law includes such type of Acts like Health and Safety Act 1974,
Harassment Act 1997, Compensation Act 1897 and Equality Act 2010. Other than these acts
there are some more acts also exist that are afflicted the business activities of Country Pine. Such
type of acts are provides security against partiality in the company and among their staff
members. These acts also provides help for activities regards to equality and harassment for
choosing at pre employment phase.

Impact of the Employment law – this is an important law for employees and staff members
works in the Country Pine and it will make sure to the company's employees that they are safe in
the organization environment. They all have right to solve their issues and conflicts within the
organization. This law is useful for those employees who have several problems regarding to the
company (Wilcox and Youngsmith, 2017). It also provides proper security in production
department where are many plants and machineries exist. So that this will give its major imp[-
acts on the business activities and affect the organizational environment. In addition to this, it
covers all areas of employment where employee work and it provides court facility for solving
their issues.
Impact of Contract law – it is the law related to the contracts of businesses with other business
and companies in trading and manufacturing process. The company Country Pine get affected
from this contract law also there are many departments and such departments made many
contracts within the organization and also out of this. In a contract there are two or more than
two parties and they involve a contract for consideration (Yaxuan, Roth and Wald, 2015). This
approach is basically based on common law and the legal system which is promoted by the UK
government is control over on it.

In the scenario, there is a company which has a name Country Pine. This company is
currently operates and run a business that is sole traders. It is an incorporated company according
to companies act and it has an issue regarding to the law. The CEO of the organization, Kevin
Johnson is currently control and manage all over the operations and business activities of it. The
company should follow all rules, laws and regulations regarding to the company's business. The
suggestion to the company's board of directors and its members that are to operate its functions
in the right manner and they should follow the laws and policies which are applicable over on
that (Bernstein, Korteweg and Laws, 2017). The all department managers and departmental head
complete work accordingly to the prescribed manner. They should apply the strategies which are
making in order to achieve the company's profit. Although, there are many issues and conflicts
can be generate but there is a company act which govern all issues related to the company and
solve that in right manner. This act is helps those problems which can arise in the management of

that company and they can not handle it more. For all these conflicts and problems among
members and staffs, this act help and control over that. This act has a power of equilibrium of
obligations so that any organization will take this and manage all things properly (Clark, 2016).
The Country Pine organization work for profit and it should secure all the right of stake holders.

memorandum and achieve all the targets in specific time.

new strategies making under law. This organization also achieve its business goal and aims
threw the applicability of these regulations. The Country Pine manages its business activities and
work in order to achieve the targets.

government (Maheshwari, 2015). In every country there are a system of governmental strategies
and policies in which it includes the tax policy and many other policies that will help in increase

the revenue of government. The economic policy has also affected the business and for this
reason the business face many conflicts related to the financial and requirements of funds. These
policies are made for a better growth of the organization and it will applicable for every
businesses.
The government has a right of increase the tax rates and apply this for all individuals,
companies, and also every entities. Political factors of their nation can affect any business and
they must deal with their policies. There are an environment of political and it decides the
stability of any business whether the business is stable or not. For this reason the investor make
their own confidence and after that they increase the growth of an organization (Nägele and et.al,
2016). The employment law is made for securing the rights of the workers which are work in any
company. This act protects those form informal issues and overtime.
Arbitration, negotiation and mediation as the solution – The negotiation is the systematic process
to solve conflicts and disputes that may generates in between two different entities or persons. It
is a procedure of settlement between themselves and become them agree. In the other hand
mediation refers to the situation where the third party involves in settlement of problems.
The arbitration consists for presents the case by the parties which in disputes and
conflicts and creates good decision.

English Legal Systems and it bound from its regulations. In this report there are a company

the director's role and responsibilities according to the given scenario and this would be use in
order to achieve any business goal and targets. The organization in UK are followed their rules
