Abstract:
In the modern-day situation, the organizations are perceived with increasing level of conflicts
within the organizational system. With the initiation of the segmented structure within the
organizational set up, the teams are seen to be in effective conflicting situations, regarding
their self-set goals and aims. This has initiated the need for corporate governance system
within the organizational set ups. The corporate governance procedure essentially refers to
the governance of the organization by the stakeholders of the same. Therefore, the present
report focuses upon the definition and meaning of corporate governance and further proceeds
to illustrate the organizational structures of UK and Japan, and presents a comparative
analysis upon the same.

2Corporate Governance Analysis
Introduction:
The process of Corporate Governance refers to the system, a corporate is governed. It
essentially refers to the governing system of the stakeholders of the company. The collection
of tools and techniques and the managerial skills to govern a corporate sector is essentially
referred to as, Corporate Governance System. The concept of corporate governance therefore,
recognises the roles and rights of the stakeholders, managers, directors, auditors, creditors
and other stakeholders in the process of decision making and conducting the corporate affairs
for the company (Hack., Kenyon and Wood. 2014). The corporate governance system is
therefore, essentially needed for all of the corporate sectors to do away with the conflicting
situations present among the stakeholders of the company.
Therefore, in the following essay, the roles of the stakeholders and the different ways
that the stakeholders of different countries conduct their businesses will be evaluated.
Further, in this evaluation, the corporate models of United Kingdom and Japan will be
evaluated. In this note, the corporate governance reform will also be considered the level of
interest it is spreading across will also be assessed.
Literature Review:
According to the authors, the importance for an operation in the corporate sector by
the corporate associates, the private organizations had arisen due to the segmentation in the
corporate structure between the managerial agencies and the ownership control of the private
bodies. This segmentation had given rise to the conflicts of interests among these two genres
regarding essentially, their personal goals and aims. The academicians have defined the
concept as the allocation of ownership, managerial schemes, organizational structures,
pressure from the institutional investors, labour market competition, takeovers and the
