INTRODUCTION
Problem is developed an issue in scenario that impact on relationship and organization
productivity negatively (Rodrik and Stantcheva, 2021). The report is based on problem that
emphasized among members that created issues for business and developed problems that faced
by business or peoples. As problem developed that emphasized and determines legal problem
due to which effect relationship among Bruce and Roger. The contract broken among them due
to this lack of trust emphasize among them. Also, impact on business and discuss legal issue that
signifies in this that emphasize what problems take place among this two peoples. In this
determine legal problems that signifies in this and company or tort law study in this report.
Further, the whole scenario is discussed in this to determine contract and tort law that bind
among two parties who involved in this.

Legal issues
The problem is created in this scenario as both parties are involved due to broke legal
contract among parties. This emphasize negative impact by determining legal issues that
facilitate by lack of trust and relationship that influence business productivity (Ermasova, 2021).
By ignoring and not following legal functions properly impose on business performance. The
both parties contract broke as Bruce is afraid of spreading news among media and magazines
that he sell no-organic produce. Through this it broke contract with Roger that emphasizes legal
issues by not considering business aspects properly. In order to this, the legal issues that signifies
in this problem scenario is determined by assessing into consideration through evaluating each
aspects. As their farm reputation impact and created legal issues among parties as not properly
managed legal functions by neglecting that impact on business and their performance by
facilitating issue (Abdulkhaleq and Askar, 2021). It is explained below;
Ignore general aspects- In accordance to this, it seen that legal problem is created because both
parties ignores general aspect through not determine each and everything respectively. It
emphasizes due to broke legal contract and determines issues through facing problem by decline
their reputation and creates negative impact on business (Millstein, Neuburger and Weingart,
2021). The legal rules to be followed for smooth functioning of business by neglecting this

restriction through breaking of partnership and companies act. By broken contract through which
both parties mutual understanding influence and business also faces problems. As not following

Broke legal authorities- In respond to this, both parties broke contract as Bruce is afraid due to
decreasing reputation of business, in order to overcome this situation he broke contract with
Roger. This impact by creating legal issues among both parties that impact influences business of
both parties as it broke their trust and relationship. Through broken of contract creates legal
issues as they unable to build contract again. As this impact on both sustainability and decrease
organization growth in negative manner. By impact on organization function and decrease their

produce and afraid of determining in media that can impact on business performance.
In terms of this, it leaded due to Bruce afraid about if media knows about that it sells non-
organization produce that impact on their reputation and declines profitability. To overcome this
situation Bruce broke their contract with Roger in order to avoid their beef production by
occurring negative impact. As it signifies legal issues due to broke of contract and over-bidden of
laws that impact on business function. It produce beef that provided to peoples by selling it

through determining that it is organic produce. But it is not organization in order to spread this
new on magazines and newspaper impact organization sustainability. So, this creates legal issues
by not following laws and legislation properly by emphasizing better quality of products to
customer. Through unable to provide organic produce that impact by not following laws and
legislation properly that impact on business productivity. In order to this emphasizes legal
problems that take place in their business due to various aspects. As this emphasize decrease in
their sustainability growth of business and reduces function as partnership is broke among them.
It leads towards by impact on their relationship as their trust broke down as not fully made the
contract legally as well this influence (Akhatovna and Abdurashidovna, 2021). By misconduct of
function takes place and emphasize issues through this happened with Bruce as their car
accident takes place. Through this conducts malfunctioning of business. The legal issues is
developed when parties are not following laws, legislation properly by impact on their
sustainability as it conducts distrust and obligation of laws. As it is necessary to follow rules and
regulations properly by conducing smooth functioning of business through properly maintaining
legal aspects of business. By unable to maintains legal aspects in business function leading

The both parties neglect issues by obligating laws and legislation through conducting
legal issues by not following. Through this determines legal issues in business by breaking
contract and not following laws properly. It impact on both parties relationship and lack of
communication takes place. As unable to follow legal ethics in business through overcoming and

quality of products that against laws and legislation (Krisharyanto and Purwadi, 2021). It leading
towards impact on business performance as both parties partnership broke that impact on
business. Through this legal issues develops problem by unable to proper maintains laws
properly. As they not following laws and legislation that influences business by overcoming
legal consideration in business. Also, damage and misconduct intellectual property this implies

Knowledge on contract law and tort law:
Contract is legal agreement which bind two parties together, this happened when a person or a
business entity want to come under a contract of fair trade and dealing. Contract is very basic
thing in the business, each and every business whether it is small or large somehow bind
themselves under a contract (Austen-Baker, 2017). It is very essential for business to form
contract under legal and legislation process, with legal agreement a business might face serious
issue in the process of deal with each other or with third party. In business there are many types
of contract such as buying and selling contract, selling a product contract, selling of a business
entity contract, buying an intellectual property contract and providing any business related
guarantee to the third party. In order to this through maintaining contract and legal function helps
in conducting productive approach for business through proper functioning of business. Three
element of contract law such as:
Formation of contract: according to HMSO 1994 contract law, a business can form a contract
with third party in order to fairly trade in public. This formation of contract provide right to both
the parties, in case of any uncertainty. A legal contract is been formed by both the parties, and
they agreed to the ratio which they have decide, it is very clear that these contract only can be
terminated rather than any modification. If one party want modification in the contract, then they
have to ask another party to fairly agree on these.
Content of contract: the content in the contract law is been clearly understandable by both the
parties, this content include fair trade and deal process which means this cover all the ratio of
profit, time of bound and termination policy. Both the parties agree to these contract content and
signed to fairly deal with each other. As both parties are approved by maintaining contract
through dealing in fair manner helps in conducting productive approach.
Termination: the contract termination often can be the most difficult part, both the party may find
hard to agree on the termination of the contract. It is very clear that termination only can be
possible if both the party remain neutral on the deal (Cartwright, J2016). If one party do not want
to terminate the contract then they have to process other laws for further more legal process. So it
is very important to stay clear on the agreement of the contract and do fair trade.

In the case of Bruce both the parties have formed a law under the contract law where they agree
to fairly trade and deal, in this case it is clear that Bruce have approached two party to form a law
yet one of the party been revoked by the Bruce as there was not contract so moon farm can not
take this case to court. Later the contract between Bruce and green farm was made under the
contract law where it is clearly mentioned that green farm will provide organic beef to the Bruce
in return of fair deal and price which can be negotiable every month, later if Bruce want to
terminate this contract then he have to take various legal step to end this agreement because the
third party may also have rights under certain contract law (Smits, 2017).
Tort law: tort law means harm or damage that might have occurred, this harm and damage fall
under legal commitment of the crime. Tort is civil law which cover all the area of damage which
might happened to a person or their intellectual property (Bermingham and Brennan, 2018). Tort
law are basically been used in the business contract where both the parties can use tort law for
their compensation of any harm and damage. The tort law may be very critical in some of the
cases where parties find it hard to claim all the legal consideration, tort law is not that easy to
win as solid proof are been required in the process. Three category of tort law are:
Negligent tort: negligent law means harm do to the person in the case of failure of any business
contract and provide them full right to take compensation in return. Tort law state that harm is
been done under certain careless act, which can be careless driving, careless look out and
unintentionally performing harmful careless act. Both the party can have legal suit against each
other until the legal statement is not been provided, it is very clear that negligent are not done
with a purpose rather it fall under certain carelessness.
Intentional tort: intentional tort means harm and damage done with an intention, this may fall
under Criminal Act as well. This type of tort happened when people try to end the business
contract from which one party is not satisfies, this is very serious crime in the eye of legislation.
Strict liability tort: strict liability tort means harm or damage happened due to defect in the
product, in this case consumer can claim insurance from the company where the level of damage
is been happened. This is very clear tort law as it state that people need to show the damage
which happened because of the defective product and if they show the damage then strict
liability tort law will help the person in claiming the compensation.
In the case of Bruce where they drove into a tractor of green lane farm and damage was
happened to both the parties, in this case Bruce get serious damage and the intellectual property

of green lane farm was damaged. Jackie who was driving the car need to complete certain
process to show that this was not an act of intentional tort, although they unintentionally drove
into a tractor (Wright, 2017). Although Burch have right to take negligent tort law for its benefit
as this act was not intentional but green farm also have strict liability tort law where they can
claim the compensation in return to damage happened to the tractor. As it emphasize by
conducting damage of intellectual rights that conducts by impact on business function. Both the
parties already have to face contract law termination process and this act will make it more
difficult to end this contract which happened between both the party in the process of business.
CONCLUSION
The report has been concluded about problem that developed in this that impact on
organization as well on parties. It summarizes of issues that has been created among two parties
that involved in this, through has been emphasized legal issue that discussed in this report.
Also,studies contract and tort law that has been emphasized in this that determines about legal
consideration that will take place in this that impact on both parties relationship. Furthermore,
this has been emphasizes about problem scenario that signifies in this that determine issues
created that has been developed issue for business. The contract has been broke among two
parties that has been developed lack of trust among parties. This impact on sustainability and
performance of business through negatively impact by emphasizing legal problems that has been
facilitates in this report.
