Introduction
Leader of an organisation is an individual who influences his followers to work
effectively for the achievement of the specific goal (Harvard Business Review , 2019).
Leadership is the leader, who has the abilities to influence, guide and helps the
employees of the organisation working under him. In addition, generally, the
executive management or the individuals who have secured the C Level position in
the organisation perform the leadership duties (Techtarget, 2019).
Around 65 % of the Businesses have improved their performance because of the
leadership development program compared with the other six companies who are
not following this program. In the same manner, approx. 86% of the companies have
a rapid response with this program as per the dynamic environment (Center for
Creative Leadership , 2019).
Brief Introduction of Case study “A meeting of minds?”
In the case study, the MD is appointed as the head of the company recently acquired
in Italy. In addition, he has to spearhead the changes in the operations running in the
European countries. Before the departure, MD instructed the owners to make the
cross subsidiary team of companies key managers. These managers have to work
under his Leadership.
In this Report, there is a detailed explanation of the leadership along with the
managerial duties performed by the MD in the Case Study. In addition, there are
various topics and aspects to analyse the case study, which helps in providing
meaningful recommendations for the further strategies company might adopt.
The Leadership and Management Duties differences faced by the leader (Case
Study)
Counting vs. Creating idea
The leadership one of the duties in the business is to create the value for which the
team is created, that means, the leader has to acts as the creator of that team.
However, the management one of the duties is to count the values, that means, the
managers have to act as the individual who adds the ideas (Harvard Business Review ,
2019).
In the case study, the leader is facing the problem that he was not able to convey his
idea of meeting to the managers in a proper way as the agenda for the meeting is
not been fulfilled is an appropriate manner and the meeting ends with the
unnecessary discussion.
Effective Communication vs. Coordination
The leadership one of the duties in the business is to maintain the “Effective
Communication” within the organisation. However, the management one of the
duties is to maintain the “Effective Coordination” within the organisation (Career Trend,
2019).

In the case study, the leader is facing the problem in both the aspects as he has
organised the meeting to establish effective communication and coordination in
between both the companies of Italy and Lithuania. However, he was not able to
establish these aspects fully.
Managing Director Response on Legal Concerns
Legal Concerns of the organisation is related to the corporate governance and the
managing director and the leader of the company has the legal responsibility to
participate in corporate governance (The Economic Times , 2019). Therefore, the
Managing Director should response on the legal concerns of the Company and this
can be done by following the legal duties and responsibilities of the Managing
Director such as a duty of care, the duty of Loyalty and duty of obedience.
In the case study, Managing Director required upholding the duty of care as it the
legal concern of the organisation that the MD as a leader has to avoid the
management risk by developing the plan and policies through which the differences
between the companies are solved and the further work followed smoothly.
In addition, MD has to follow the duty of loyalty and he must respond to these
conflicts to identify the circumstances, to disclose the conflicts, voting on the issues
rather than giving own decision and resolve the conflicts. By following these steps,
the MD might able to resolve the disappointments of both the companies.
Moreover, MD has to follow the duty of obedience, as the responsibility of MD is to
ensure that both the Companies should follow the rules and regulations of the
organisations is stepping helps in resolving the difference between the two
companies.
Managing Director Response on Ethical Concerns
Ethical Concerns of the organisation is related to the “Code of Business Conduct”
and the managing director and the leader of the company has to follow them. The
code of conducts includes the ethical responsibilities, conflicts of interest, corporate
opportunities, confidentially, fair dealing and compliance procedures (NCBI, 2019). In
addition, if these code of conducts are not followed in the organisation than it is to be
considered as unethical behaviour.
In the case study, Managing Director as a leader has the ethical responsibility that
within the organisation the Code of Business Conduct” must be followed by both the
companies. If any of these companies not following these codes then, it is
considered to be unethical behaviour and MD should respond to it by taking some
strict actions.
In addition, MD should fairly deal in this situation when both the companies are
disappointed which had created differences in between them and it is the ethical duty
of the MD to resolve these differences between them.
Moreover, MD ethical duty is to monitor the ethical behaviour of the team as the
leader. He is the one who has to take the necessary steps to evaluate the ethical
behaviour of the team. As a leader has to be clear and consistence reaction on the
