Business Law: Legal Types of Business Organization, Employment and Contract Law Impact, Director and Auditor Responsibilities, Company Resolutions_2

INTRODUCTION
Business is formed for the particular purpose of carrying out a commercial enterprise and seeks
profits by selling the products and services. Business organisation describes how they are
structured and how that structure facilitates them in meeting their desired goals (Parry, 2020).
The business organisations are either profitable or non profitable but both have one similar
feature that is legal regulations controlling them. Business law refers to the legal rules and
regulations established by the government to govern the enterprise ethically and legally. The
laws of business organisation contain legal structure, contract law for employee and employers,
intellectual property right, company law etc (Monkhouse and Spiro, 2020). The present report is
the case study of Mr Gordon the assistant director for Green Courier Services who has recently
contacted Bigan and Bigan Law firm advice on employment and company law matter. Report
will contain all the necessary legal advice that Mr Gordon requires to comply with their roles and
responsibilities under the company and employment law.
MAIN BODY
TASK 1
Discuss the different legal types of business organisation and the steps taken to form a company
Business organisations are required to adopt some kind of legal configuration that it defines the
rights and liabilities of the employees and the participants in the business ownership or control
structure and the lifespan (Barnard, 2020). There are four legal types of business organisation
that are discussed below:
Sole proprietorship: simple list and basic form of the business organisation with the ownership
of the business is in the one hand. Sole proprietorship business organisations are the firms that
are owned and run by the one person and the benefits of the organisation are owned by that
person only.
Partnership: organisation that is legally formed in the format of partnership means more than
one people share the ownership of a single business. This is no distinguishable law between the
business and its owners therefore partner should have a leg legal agreement that states the
decision made between the two regarding the sharing of profits, that's disputes to be resolved,
how one partner can come out of the bond, how they will dissolve the partnership when needed
and much more.
