Executive Summary
This report is made in the group as a teamwork to follow the instructions of
the scenario’ and practice in regards of the Learning Organisation learned in
classes and doing research for St. George Bank for further developing ideas
in finding the ethical issue of the organisation and analyses using
professional communication skills that we have learned and apply in the
research of the information from the specific bank chosen using academic
peer review journal to find the strategies to improve the ethical culture in the
Learning Organisations.

Introduction
St. George Bank is an Australian-bank founded in 1937 with the parent
organisation of Westpac and Subsidiaries of Bank of South Australia,
Advance Bank, SEALCORP, which stay in headquarter based in Sydney. Since
2008 mergers, the banks have been part of Westpac-Bank that previously
has been an independents legal-entity. In 2010 St. George was deregistered
as companies and ceased to be a stand-alone authorised deposit-taking
institutions. (Bank, 2019)
Company Background
St George Bank are having very good histories as a financial-service institutions, the
bank was established' in 1937' in the suburban of Southern-Sydney as a co-
operatives building societies. In the year 1945 St George Bank merged' with the
Cronulla-District Co-operatives Building-Societies and grewed to 38 branches'. After
4 decades St George Bank has built good reputations as Australia best building-
society. In the year 1989 St George Bank has establishing the Foundations as
registered-charities with commitments to enhance the qualities of life for Australian-
children’s. After few years, St George Foundations has given out more than $15
million to Australian-charity to support the children’s. St George Bank are achieving
full banking-status and also acquiring the banking-licenses back in 1992. After two
years, St George Bank becomes a full services bank after acquires the Commercials-
Banking divisions of Barclays'. In the year 1994, St George Bank has led the
markets by launch electronic-banking to businesses-customer. St George Bank
acquiring Advance-Bank/BankSA in the year 1997 became number five largest-bank
in Australia. In the year 1998 St George Bank purchasing SEALCORP', followed' by
KPMG Financial-Services in the year 1999. St George Bank has started the new-
millenniums with further-acquisitions. In the year 2000, the Bank acquiring the
Scottish-Pacific-Business-Finance-Group and in year 2001, Deutsche-Bank’s

Australian's margin lending-businesses. In year 2002 the Bank announcing a joint-
ventures with Foodstuffs', New-Zealand largest' supermarket-retailers in
establishing Super bank'. As a head in technologies, St George Bank was the first
banks to launching SMS Alerts' in year 2004. By the year 2006 the Bank are
reaching two major financials milestones and achieving profit more than $1billions
for the first time and exceeded' $100 billions in overall assets'.
Merger with Westpac
In May 2008', St George-Group has entered in merger-discussion with Westpac-
Banking-Corporations. After regulatory approvals and due-diligences, the
shareholders' agreed and approving the merger's in November 2008. On the 1
December 2008' St George Bank becoming part of the Westpac-Group, contributing'
about 30% of the merged' entities and created Australia leading' financial-services
organisations with an ‘AA’ credits-rating. On the 1 March 2010, the Westpac-Group
commencing to operate as a single-authorised-deposit-taking-institutions (ADI) and
the legal entities St George-Bank Limited was de-registered'. St George Bank is now
a major operating divisions, contributing' significantly to the Westpac-Group.

Learning Organisation Process
According to (Smith, 2016) Books of Organisational-Learning with the title 'An-
Integrated-HR and Knowledges-Managements-Perspectives' stated with multi-
disciplinary based looking from the origin practices of OL in considering the natures
of organisation knowledges in social constructed as individual, group, or team and
whole-organisation technologically matter in developing knowledges of
information’s system. The Author's provided the case study attached in the book
implemented strategy to ensure long-terms accesses the knowledges and
experiences in organisations.
Organizations could either be classified as ethical or unethical based on the totality
of the organizational culture which serves as a definite system on how it runs and
how must its members – from the heads down to the very last members of the
company, should think, behave, and approach existing and future breakouts in the
