2. Replaceable Rules To be applied in accordance with section 135 of the act.
3. The internal management of the company will be subject to the application if replaceable
rules as per section 134 of the act.
4. Share:-
Subject to the provision of the constitution of the company, directors may-
a) Issue and allot ordinary shares of the company
b) Issue and allot preference shares of the company with an option of conversion or
redemption as per section 254 of the act.
