Business law means law that has been used in order to make business organization grow
in more effective manner. Business law means laws that has been formed in order to make legal
framework developed in relation to business organization which makes functions performed in
more effective manner. There are various perspective covered under business law based upon
legal framework formed within country. Further, business law helps in accomplishment of goals
and objectives in more effective manner. Business law covers those aspects that deals with
process of forming business organizations which helps in conducting busies activities in more
impactful manner. These laws deal over various perspective in relation to business organizations.
The following presentation covers about different kinds of business organizations with their
advantages and disadvantages. The essay covers about various sources used while forming law.

sources that has been explained as follows: Primary sources: The source has been formed
through different sources that makes knowledge regarding various aspects of law covered in
more effective manner. Further, elements included within source has been explained as follows:
Legislations: Legislation this is one of the most important source that helps in forming law by
following proper process which helps in making legislation formed in effective way. The most
important source makes effectiveness developed in law making process. Case law: These source
is based over information provided regarding laws formed in more effective manner. The source
based over facts and issues with judgement passed in particular case. In this common law
principles are applied. Secondary sources: In this source all information collected is provided

through primary sources. These sources has been explained as follows: Encyclopaedia: This is
one of the most important secondary source used in order to understand about legal terms used in
particular cases. It makes legal definition developed in more effective manner. Legal books: This
develops understanding about different laws and legislation upon various laws helps in making
knowledge improved with efficiency. It make law students attain academic integrity upon course
of submission. Explain the role of government in law-making and how statutory and
common law is applied in the justice courts. Legal system within country is based upon three
main organs which is used for forming law according to process that has been defined within
constitution. These organs are legislative, executive and judiciary has been explained as follows:
Legislative: This organ helps in forming law by following proper process which has been given
within constitution of a country. The legislative process helps in forming legal structure used by
an organization. Executive: They are known as second most important organ which is provided
in order to form law applied within society in more effective manner. Judiciary: This is third
organ which is used upon including working of judicial system within which laws formed does
not violate fundamental right and constitutional framework. Using specific examples illustrate
how company, employment and contract law has a potential impact upon business.
Business organization helps in developing business environment in more effective manner which
makes different legislation formed and has been given as follows: Company law: These law
used in order to make business organization develop proper legal framework which makes
business organization achieve goals and objectives in more effective manner. As per company
law business operations handled in more effective manner through applying Company Act 2006
within which guidelines with rules and regulations has been mentioned in more effective manner.
Also these laws makes appropriate sections formed which makes guidance provided upon
organizations functioning. The act has made it compulsory to form memorandum of association
and article of association compulsory to be formed in order to establish business organization.
Also duties of directors is explained with shareholders liability towards organization. This can be
understood with the help of example that is, BN Ltd willing to become private organization in
order to establish itself memorandum of association and article of association is required to be
developed. Contract law: Under this law agreement is formed between two or more persons or
two organizations. The law makes agreement turned in to contract through certain elements
mentioned within contract law. Contract can be in expressed and implied form which makes

promise become valid contract as it has been formed out of mutual consent and falls within
expressed contract. There are certain elements required to make valid contract which are offer,
acceptance, obligation, legality and validity. These elements are necessary to be presented for
making valid contract. For example, ABD Ltd and PDP Ltd willing to come together for making
agreement of supply between them. They should use these elements to form contract.
Employment law: These laws has been developed in relation to business organizations which
makes issues solved in more effective manner . The law is majorly deals with inequality, wage

Wages act 1986 and Equality act 2010. For example Jacob has been working within an

Incorporated organization: Such organizations is based over complex formation process. In
these organizations of both public and private organization is covered. Further explanation is
being given as follows: Private organization: These are those organizations that has been

formed through complex process which include collecting document and submitting it to
Companies House. Public organization: This organization uses Public Limited in the end. The
organization sells its shares in public. Formation of the organization involves submitting digital
signature of all owners, members of memorandum of association and other importation
documents.
Business organisations are managed and funded with advantages and disadvantage.
Sole proprietorship: Management of these organizations are handled by the owner with sharing
of profit and loss. Funding is done by relatives, family members and friends. Further, advantages
and disadvantages has been given as follows: Advantages in this organization profit earned is
kept by owner themselves. Formation process is less time consuming and money involved is
minimum. Disadvantage At times funds arranging becomes very difficult for business
organization of such kind. This makes organization face loss over activities handled by one
person. Partnership firm: These organization is managed by partners with all other
responsibilities. Funds are arranged through personal investment done by partners. Further
advantages and disadvantages are as follows: Advantages Less formality is there for legal
obligation(Halbert, 2020). All burden is handled by partners themselves. Disadvantage The
organization does not have legal status. Limited access is there over capital as only partners
arrange it. Private organization: The organization are managed by directors and funds are
arranged through bank loans and debentures. Advantages: These organizations includes right of
succession which makes organization to be separate entity. Business privacy is one of the
advantages of private limited company. Disadvantage: Formation process is time consuming and
money involve is huge which makes it very complexed in nature(Katsos, 2019). Divided
ownership- one of the common disadvantages of private limited company. Public organization:
Management is done by stakeholders of business organization. Funds are arranged through
government institutions, health programs and community services. Advantages: Public
corporation has been formulated with implied policies in public welfare. In this corruption
hinders process of such organizations. Disadvantage: It enjoys immunity from parliamentary
inquiry into its day-to-day functioning. Public corporation incurs losses, the government
provides subsidies to make good the loss.

Alternate dispute resolution system means those system helping in solving dispute in
more impactful helping in solving dispute in more effective manner. It holds responsibility of
reducing burden of court. This is one of the most important system leading upon making justice
served in its real sense(Surdam, 2020). In other words lot of cases are solved outside the court
making dispute solved with more effectiveness. According to system various process has been
followed that is negotiation, conciliation, mediation and arbitration. First process is negotiation
which is based upon making meetings conducted between parties and make them come to
common point of discussion. Then comes conciliation which makes dispute solved in more
effective manner which makes problem solved through mutual understanding. The last process is
arbitration that has been used in order to provide judgements passed in more successful manner
which makes issues solved in more effective manner. It is the last process which has to be used
after applying the above mentioned process. In this discussion is done on the basis of case
scenario that has been explained as follows:
Case scenario:
In this case Nick and Wendy Sampson has brought 55-inch curved Samsung TV and PC
World for £2,699. The TV turned out to be not worth the price and after two years discolouration
and screen backlight bleed was taking place within TV. Nick and Wendy reported problems to
PC World and arranged to send it back. The TV was collected in immaculate condition and was
scratched and dent also exists when being turned. Three subsequent returns over insufficient
repairs went missing with PC World for over 10 days and damage panels. Discussions with PC
World went nowhere, so Nick and Wendy raised a Section 75 claim with their credit card
provider, Aqua.
After analysing the facts of the case the main dispute that has arise within the above case
is based upon warranty(Batteau and Trainor, 2017). This can be solves with the help of
arbitration within which proper judgement is passed to make satisfaction created between parties
leading towards solving dispute. Further, the legal advice and legal solution can be used in order
to solve dispute by understanding depth of it. In legal advice problems is understood by legal
advisor or client. Under legal solution lawyer and advocate provides solution after listing to facts
of the case and looking at it. This helps in providing better legal assistance
