INTRODUCTION
Business law or commercial law is considered as body or framework of law that governs
or protect the business or processes that are used by the organization in business processes. This
is mainly considered as the branch of civil law that deals with various issues of private and
public law. This laws are mainly known as factors that can regulate the corporate contract, hiring
and recruitment and selection processes and sales and manufacturing process of the business
organization. Business laws can be defined as branch of law that is consists of laws that are
related to the trading process, industrial and commercial processes (Beatty, Samuelson and Abril,
2018). This is considered as one of the most important branch of Civil Law. This report is
providing overview of different sources of law in UK. The role of government in law making
process will be analysed in the study along with explanation of statutory and common low in
country. The impact of employment and contract law will be analysed on business of an
organization. Business organization are structures on basis of different legal structures. These
legal structures will be analysed in report. The process of managing and funding business
organization will be studied in study. Various legal solutions also will be provided in the report
that are used by the business organization on basis of their case study.

P1 Various Sources of Law
There are different sources of law are considered in United Kingdom. There is no any
specific written law is followed in UK. There are different parts of the law in UK that are
followed in different part of the country. There are four main sources of Law considered for
main law of UK. These main source of law are- Legislation, Common Law, European Union
Law and European Convention on Human Rights. All these sources of law are followed in U
nited Kingdom.
Domestic Legislation- Legislation includes both primary and secondary legislation. The primary
legislation that is considered in the legislation is passed by debating in parliament that include
the government censored bills and bills that are proposed by private members of parliament. This
are commonly known as statutory law. Government have power to introduce secondary

legislation that is processed by issuing regulations called statutory instruments that is under the
provisions of primary legislation that do not required debating process with in the parliament.
Common Law- This is considered as second main source of UK law. This can be explained as
process where judges tries to apply law that is common all around the country. This law is also
considered as Anglo American law that is body of customary law which I based on the judicial
decisions and embodies in then reports of the selected cases (Jan and Harm, 2019). This is
administrated by the common law in the courts of the England from the middle ages. The cases
that are considered in this process are considered as case study that can be used by the
organization to develop base for other cases that are observed in the court in different part of
country.
European Union Law - The European Union Law is considered as system of various rules and
regulations between the members of the European Union. Main aim of these law in organization
is considered as law that is formed to maintain peace between different countries of European
Union. This law is consists of various values and considerations that are implemented for the
well - being of people in European Union. There are different political institutions, economic
policies social policies which are developed for the purpose of human development and
cooperation between the different countries of European Union.
European Convention on Human Rights- This law is formed to protect the human rights of
people of the countries which are part Europe Union of belongs to the European Uion. There sre
total 47 member of council are there including United Kingdom (Yu, 2018). This Law is formed
to maintain or fulfill rights of people along with fundamental freedom of people in country.
This is how there are these four main sources of law in Uk that are considered by the
Legal body to maintain better conditions in United Kingdom. This is how the law of UK is
formed of four different sources which are used in country to maintain law and order in all
situations.
P2 Role of Government in Law Making process and Application of Statutory and Common Low
in Justice Court
Role of the government in the law making process is crucial. There are different things
are need to be performed by the government to make law in country and implement it in practice.

There are mainly two houses in UK government which are known as Houses of common and
other one is known as House of Lords. Fi a law need to be made regarding some thing it is need
to be presented in the parliament by one of Member of Parliament. Proposed bill is presented for
hearing in the house of parliament and this bill is discussed by the members of parliament for
further improvement and various required changes are implemented in the bill by the discussion
process. This is how proposed bill goes to other housed with some changes implemented in it. As
the bill of law making process is read by a member of parliament it is proposed for voting. To
make law it is important to pass the bill from both houses of parliament. Most of the bills are
initially presented in the house of common. As bill is passed in house of common then it is send
to the House of Lords for further considerations (Twomey, Jennings and Greene, 2016). This is
important to pass bill from both houses with 3 / 4 votes of members of parliament. As bill is
passed in house of lords it is received by the royal asset from the queen before this bills become
as act and implemented as law.
After the bill is presented in both houses of parliament is provided to the small group of
members of parliament in order to analyse the bill in detailed manner. Some required changes are
implemented in the bill to make the bill more effective as a law. After the third reading of the bill
there is a voting process is implemented to pass the bill as law. If the bill is pass with the
majority of votes then it is passed to the House of Lords. As the bill is processed from the both
houses of parliament is is sent to the queen for the Royal Assent. Ones the bill got the Royal
Assent the bill becomes as Act in Parliament. After this this act become the law of the land. This
is how a complete operation is performed by the government to pass a bill in country.
Application of Statutory Law in Court- The statutory law is issued by the various government
agencies. The operational level of the statutory law is considered as substantive. Mainly this law
is written law and nature of this law is prescriptive. The origin of the law is Government of
legislature. As this law are already written as law it requires only need to be applied on the
special cases. As per the conditions and status of the case various statutory laws are applied in
the relative manner. This is how the statutory is directly applied to certain cases that are come to
the court.
Application of Common Law in Court- The common law is consists of new decisions that are
developed of made by judges in the court. These are some cases where the judges have to take

decision which is based on their own experience and knowledge of law (Orlov, 2016). As per the
situation various changes are implemented by the judges in applied to the cases. The operation
level of this laws is procedural. These laws are also known as case law. The nature of the
common law is instructive and origin of bill is from precedent of the judiciary. The common law
is developed on the daily basis where particular case starts with research analysis process,
location of the previous similar case, extension of the statements as sentence that is finally
passed in order to apply the common law implemented in the condition. The decisions that are
passed by higher court can overrule the decisions of the previous courts and earlier cases.

P3 Impact of Employment and Contract Law on Business
There are different considerations are ned to be followed by the business organization in
order to run their organization effectively. These laws are made by the government in the
parliament. This is responsibility of the business organizations to follow these laws in order to
prevent any kind of legal action against the organization and get interrupted by legal processes.
To know the impact of employment law on business organization this is important to get
knowledge about the employment law. The employment act 2002 is considered as employment
law in UK. The employment act 2002 seeks encourage individual employment dispute to be
settled with in the work place with any implementation of the employment tribunal (Batlan and
Bass, 2018). This law covers the various topics like employment contracts, family of friendly
leave, unfair dismissal and redundancy. This is also related to the national minimum, wages act
1998. This is how various topics are covered by the topic. Organizations have to follows all the
suggestions that are provided in the employment act. In this law some rights are provided to the
employees and employer in the law. Any breach in the law can affect the operation of
organization and it can lead to any legal action against the organization. For example in the
business organization it is right of employee to get specific number of leaves which are paid any
kind of breach can be taken seriously by legal bodies.
Contract Law is the law in United Kingdom through the sales and supply of the goods act. This
law or act provide protection to the seller and buyer. As a contract forms between two parties
that are some rules and regulations are followed by both of them. As per the contract both parties
have to follow the pacts that are included in the contract. If any one of the contract party breach

the law it can affect the law breaking part and they are liable for any legal against them. As per
the law in condition of contract breach, compensation need to be provided to the other party.
This is how contract law protects the contracts that are formed between two parties in business
process. For example employment law is a contract between the employer and employee. If one
of them breaches the contract then they ill be liable for serious legal action.
This is how contract law and employment laws are need to be followed by the business
organization in order to prevent legal action against them (Roach, 2016). this laws are formed to
provide protection to the employees and employers against any illegal action or activity that is
taken by both parties with in the pact.

P4 Legal Formation of Business Organization
There are different legal structures are followed by the business organization to run their
business in effective way. there are some common legal structures that are considered by the
business organization are – Sole Proprietorship, partnership Firm, Limited liability company,
Private limited company and public Limited company.
Sole Proprietorship- This is the simplest form of legal structure that is followed by the business
organization. It is not a legal entity and simply this business organization refers to an individual
person who owns the business and personally responsible for all the operations in the
organization.
Partnership Firm- This is known as association of two or more than two persons who pool their
financial and managerial resources and come to agreement to share profit of the business that is
eared in the business operations.
Limited Liability Company- Limited Liability Partnership means the body of the organization is
registered under the Limited Liability Partnership act 2008 (Snyder and Maslow, 2018). In this
form of organization some or all partners have limited liability to the company.
Private Limited Company- Private limited company can be considered as having minimum paid
up for the capital of higher paid up. Some of main considerations that are considered for business

organization are restricted to share kits rights. This type of organization are runs and traded
privately.
Public Limited Company- Public Limited Company is considered as separate legal entity that
incorporates under the company act. Allows the members to transfer their shares where they
have larger number of shareholder base. It is not a private organization, it has minimum paid up
to certain amount up as capital.
P5 Process of Managing and Funding Business Organization
There are different processes are used by the business organization to manage and
funding of the business organization. These [processes are need to be followed by the business
organization to run the organization profitable in market place. some of business management
process that can be applied by the business organization are- Collaboration, Coordination and
control (Pollman, 2016). These processes or strategies are used by the business organization to
operate or manage the business operations in the target market. In the collaboration process
organization make deals with other organizations or assets in order to meet all the needs of the
organization in target market. collaboration in the business organization is important to improve
the business continuity. The other process that is used by the business organization is known as
coordination process. coordination is process where various people organization come together
to meet the business process needs. The last thing organization for better management of the
business organization is control. Various technologies and administration processes are used by
the business organization to get higher productivity in operations.
There are different type of funding processes are used by the organization meet capital
requirement of the organization. some of common funding process that are used by the business
organization are- unrestricted community funds, field of interest, donor advised fund, savings,
shareholders and various other fund rising processes. These processes are used by the business
organization to generate higher benefits from market place.

P6 Recommendation of Legal Solution for Particular Case Study
For the business case study the employment and contract law is applicable. These
laws can be considered by Susan to get the remaining payment from the organization. she is

liable to get payment for the work she has performed for organization (Hamad, Elbeltagi and El‐
Gohary, 2018). as per the contract she must be paid with reasonable amount that is mentioned in
the contract with the organization.
CONCLUSION
This report is concluding detailed information about the business laws that are followed
by the business organization and directed by the legal body in country. Various sources of law
has been examined in the organization. Role of government in the law making process has been
explained in the report. Various example are used to provide knowledge about employment and
contract laws and their impact on business organization. Different legal structures of business
organization has been studied in report. For the case study provided in the report.
