INTRODUCTION
Background
Corporate governance refers to as the combination of different types of rules and
regulations which the company has to follow in order to manage the working of the company in
ethical and effective manner (Bhagat and Bolton, 2019). For the business it is very essential for
the company to comply with all the ethical and moral principles which are applicable in the
business. The present study is based over the company ASDA which is a British supermarket
chain and is headquartered in the Leeds in England. The company is founded in the year 1949 by
JW Hindell and Noel Stockdale. In the current report the issues relating to the corporate
governance and the ways of dealing with these issues.

As per the views of Aguilera, Judge and Terjesen (2018) corporate governance is the
most importance thing in the business and which the business has to follow in order to have
ethical and effective manner. This is necessary as the company will not be doing ethical and
morally correct working then this will have a great impact over the working capacity of the
company. On the other side the composition of the board of directors means the panel or the
group of board of directors. For the effective working the most important thing for the company
is to have talented and good board of directors as if the board of directors will not be good then
this will impact the working to a great extent.
Adnan, Hay and van Staden (2018) argues that this is majorly because of the reason that
if the board of directors will not be good and effective then the company will not be in position
of taking good decisions. Further there is proportionate relation between both corporate
governance and the composition of board. The major reason for this is that when the board will
not involve good people then it is sure the corporate governance will not be managed in effective
manner. Hence, with this it is also evident that the company suffers many challenges in
managing the composition of board in effective manner. The major challenge is that the board of
directors are many and it is not possible for the company to keep all the directors happy and
satisfied.
RESEARCH METHODOLOGY
Research type- for the completion of the research over identifying the issues in getting
right board of directors within the company the researcher will make use of the
qualitative studies. The major reason for the usage of qualitative study is that this will
assist the researcher in developing more in- depth knowledge relating to the issues in
managing right composition of board of directors (Mohajan, 2018).
Research approach- in order to complete the research in successful manner the research
will make use of the inductive approach of research. The reason underlying this fact is
that when the researcher will use this approach then in this they will frame aim and
objective and then will conduct study on basis of that.
