INTRODUCTION
Corporate governance considered as the rules and practises by which an organisation will
perform its business operations. It is the process which especially involves the maintenance of
interest which possessed by stakeholders of the entity. Thus, researcher has selected research topic
which are associate with corporate governance.
Background of the study
Originally it is been true that corporate governance practises are developed to stop the
business owners from acting abusively on behalf of entity. This is the concept which has been
created with the motive of developing ways in which every organisation must have to perform
(Bernard, 2017). But there are some issues which nowadays have been identified where entities are
not carrying the such guidelines for performing their business operations.
In this present report a case study of Volkswagen entity will be chosen by the researcher
because the entity has faced main issue while conducting its business operation in accordance with
corporate governance. Entity mainly failed in operating its function by complying the rules and
regulations of corporate governance.
Problem statement
Corporate governance is the term which provides specific guidelines to organisations across
the world in which they have to perform its business operations. However, there are some issues
and benefits which are associated with its compliance in the organisation. Major issue with this rule
is of conflict of interest where officer or other controlling members have their own different
financial interest with the company (Davies, 2016). Thus, the researcher will develop the study on
the case study of Volkswagen organisation which mainly get failed to comply with such rules and
regulations. It is been found that the technology which entity has used for cleaning Nitrous Oxide
emission was against economy and performance.

findings with the books, scholarly articles and with any other source which will be relevant for
particular issue and area and theory of research.

which faced by the organisation across the world while conducting their business operations in
accordance with such principles. It is also true that new technologies in the era of globalisation has
entirely changes the way of operating business transactions. Thus, in this revolution managing risk
is become an difficult task for the entities across the nation. Therefore, corporate governance is the
process which mainly deals with network of formal and informal relationships with management
and stakeholders of the company. Thus, it is also true that it is an difficult task to achieve in totality.
For example: UK has the powerful codes which state that every listed entity has to comply with
national corporate governance which is generally a benchmark for entities. The result is that many
businesses has lost their profitability.
