INTRODUCTION
Law for business manager is one of the crucial concept which plays the vital role in organisation
at the time of accomplishing the goals. Managers are the one who has to work on important
ground and according to that they must have the knowledge regarding law and legal language.
The decision of manager plays the important role as it affects the business at the time of
accomplishing the goals (Agarwal, 2018). In report, three different parts will be covered, where
first one will relate with different form of business and which types of investor should enter in
which types of organisation. Then, employment law and self-employed will be discussed and
finally concept related to Patent Act, 1977.
PART 1
Most appropriate business medium for the following clients
According to present market conditions, there are various business organisation are
practiced by the investor for investing good amount of money in order to generate more revenue.
This is essential for all business to perform all work as per better revenue and results to gain long
term results that leads them to complete task with in legal and ethical manner. From the recent
period there are various concepts will be introduced by management to complete all work within
minimum investment. Some types of business entity are mention as below:
Sole trader- This is defined as an effective form of the business that is related with
workforce and its entity that ensure to complete all work and to make decision on self-basis. The
concept of sole trader reflects that all business operations and functions are completed by
management in minimum time period. This also results all business operations prefer to attract
more number of investor through making essential decisions in minimum time period. Along
with this the benefits that are achieved by sole trader is to earn more profits on self-basis that
generate more number of annual profits for the organisation.
Partnership firm- This is an effective form for organisation in which individuals perform
their work and business action according to mutual agreements (Alexander, 2019). In this
organisation perform all work according to commencement of business that is used to complete
all work according to guidelines and its act. This is also essential for the partnership firm that is
used to delegate all work according to partnership firm that formed in form of partnership deed.

This type of organisation also share number of profits for obtaining better results that is used to
commencement better results by reducing amount of profits.
Private company- This is an effective form of business in which organisation provides
better results that handle to complete all work in systematic manner. It is also beneficial for
understanding better results that enhances long term results to complete all work in proper
manner (Allen, Kraakman and Subramanian, 2016). Moreover, it also considers to perform all
task according to the guidelines of company act, 2006. This is more beneficial to extend the
business and will to complete all work in simple manner.
With this form of business organisation among which roles and responsibilities that is present in
different manner to complete all task as per operations. Along with this it is also necessary to
consider all business task as per guidelines that is used to attain all goals in proper manner.

According to the situation that is provided a group of architects are focused to establish the
business at small level. They are concern to complete work with attracting new property dealers
that is used to grow business with the idea that is limited with private shares of organisation. This
is because management property is consider as a great platform that is used to provide and invest
huge amount of fund that is required to complete all task with in systematic manner. The main
concern for the private company is used for managing work performance as per guidelines that
commence business with competitive edge in market. Firstly, group also require for identifying
the name of organisation that identify business within in effective manner. It also consider that
with in memorandum of business and article of association that is used to make better results for
submitting all task in effective manner (Dodd, 2017). In the last, all documents are submitted
within companies houses to manage work as per registration fees.
B. Three friends who have just qualified as beauticians.
As per the given situation it is focused that investor completed their course related with
beautician that focuses for completing all work within effective manner. This is also important
for all to understand the rules of business on individual basis to complete their work with in
proper manner. According to situation new enterprise is started at small level that is used to take
appropriate action among the partnership firm. This is also necessary for monitoring them all that
they are new in business and manage its work as per specific field area. The most effective

method for them is to select the form of partnership and to implement it for set-up of new
business. Moreover, it is also important for all individuals for obtaining HMRC in order to
formulate right deed. Along with this it is also important to act all work as per partnership act for
attaining all goals as per action.
C. An up and coming musician.
This is particular for all situation among which all investor work to perform all business
actions to attain there goals with the decided strategy. Among this no profit sharing also
generates problems for investor. Therefore, the most appropriate business technique is to adopt
sole trader business style (Gielnik, Zacher and Schmitt, 2017). With this it also generates less
problems as well as burden for musician that is used to complete all work as per legal activities
that is essential for managing business in minimum time period. Similarly, there are less
requirements of formalities and paperwork while managing business at small level as a sole
trader. To commence sole trader this is the responsibility of the musician for obtaining National
insurance and the number as per HMRC. With completion with this two documents that allow
musician to start their business work in systematic manner that leads to complete all project as
per there goals.

Advise Taran of his employment status at law? Consider why this is important in your answer
Case scenario- Taran notices that Job adverts among which Sleek driving limited was
willing to work as per self-employed to carry out all products. For self-employed, clean driving
license as well as per personal vehicle that is presented in there and it ensure that to regard all
work. As per the scenario, Taran agreed for the contract with Sleek driving limited. As Taran is
not happy with the contract because job advert generates and mislead guidelines as there is rule
for providing 30 hours for the specific role along with the Uniform that it must be there while
performing job role (Goshen and Squire, 2017).
Employment law- This works as the legal law which is formed by the legislative body that
work for UK. The main role of this law is to maintain positive relation among the employer and
employee. Among this all circumstances, both parties must perform their work according to the
employment law which provides guidelines that how employee as well as employer perform

their role in internal premises of organisation. Example- as per employment law organisation
must provide a decided minimum wage to employees.
Self-employed- Individuals who manage their work with self-employed works to manage
their business for accomplishing own goals. It is a way of working style that is accept and select
by business owner to complete their work with best suitable approach. The self-employed
individuals are also recognised as an independent contractor which is used for making directing
contract with clients (Hansmann and Kraakman, 2017). This result it is easy for them to
complete all work as per organisational basis which helps to earn good amount of profits. It also
demonstrates to understand better work possibility that utilise better operation for management
by making decision in minimum period.
Contract law- This work as an essential law that play an essential role for performing all
work as per contractual work. So it refers that all parties which enter in contract must perform its
actions according to the decided terms and conditions. In any circumstances if parties fail to
work as per this basis than organisation sue party has right to take legal action. So in the case of
Taran and Sleek driving limited make contract to perform all work as per self-employed
methods. So there is no restriction to deal with management as per law and its management.
In short, it is decided by the Taran that it consider all work as per laws and regulations
that is used for making results as per Sleek driving ltd. they must not force the organisation to
complete their work in decided time period. This is also not written in contract and job advert. So
the action is easily taken by the management against the company. If management charge and
sue rights than it is the duty for company to complete all work in effective manner as per
employee benefits that is not forced to perform all task as per rules and regulations that is
generating issue for management. In the last, employed status as per self-employed law in which
organisation not bind Taran to follow company and employment laws.

advantages and disadvantages of patenting an invention under the Patent Act 1977?
In present scenario, having the patent right for any of the product plays the crucial role for
the inventor as well as the nation because it directly or indirectly allows to uplift the standard of
economy level (Johnston, Segrestin and Hatchuel, 2018). Patent act is explained as the concept

or law which form an intellectual right through which rights are provided to the one who has
introduced something new for the first time. In context of UK, any of the person who is living
within the premises of UK and has introduced something new for the first time then in that
respective condition they can get the patent rights for maximum of 20 years (Peterson, 2018).
Whenever any of the person or an organisation is willing to have a patent right on any of the
products they must be able to fulfil certain terms and condition which has been discussed below:
 Whenever any of the people invent something new for the first time, it is essential to
understand for them that the invention which has been made by them is completed new
and unique. Also, it should not be disclosed within any of the person in any of the
condition.
 There is no acceptance of those cases where up gradation has been done to prevision

the society inclosing any industry that has been operating within the economy such as

that the invention so made by them is not similar to others in any case. If this happens then
efforts will not be considered as invention rather it will be considered as innovation or up-
gradation of the technology or the process with which the invention is associated with for which
patents cannot be given to the person. Apart from this it is also stated that, the patent so provided
in UK is applicable in that economy only, whereas if the individual seeks patent throughout the
world then they have to comply with additional requirement of the act.
On the basis of the guidelines of the Patent Act 1977, various advantages and disadvantages
of having patents for the inventions are identified which are given below:

Advantages
 With the help of patents a person has a right to protect their invention from an individual
or from an organisation. Even others cannot sale the products without taking any legal
right from them.
 Protection to the invention is provided for a specific time period due to which other
cannot imitate the invention.
 After registering the patent various benefits can be taken as it grants powers to use it as
per their needs.
 For allowing other to use the patents fee can be charged from the person with the help of
which inventor can earn huge amounts for a certain period of time as without their

 It also provides the rights to sue the person who has been using similar invention without
taking any permission from them.
Disadvantages
 Even after taking the patents for the invention the technology so use for developing the
invention has to be disclosed due to which it becomes difficult other to use the same and
to invent something new.
 For getting the patent rights fee has to be provided to the different department of the
government and also for renewing the rights after a specific period of time.
 Invention can be done by different people as many have capability of doing so but they
cannot take the patent rights for that due to complex procedure, lack of resources
(Johnston, Segrestin and Hatchuel, 2018).
 Annual fees has to be paid for maintain the rights otherwise the patents lapse.
The Patent Act has various benefits and drawbacks which are given above and it is important
for the inventor to understand all such benefits and drawbacks. Both, the process of invention
and the process of taking patents for the invention is not an easy task.
CONCLUSION
From the above discussion, it is essential to understand that the concept of business law is
crucial where knowledge regarding law should be there for taking effective decision. There are
different form of business but it is essential to understand that willingness of investor plays the

crucial for setting up of business. There is always a difference between employer and self-
employed so it is necessary that roles and responsibility must be assigned as per their talent and
skills. Patent law is one of the law which has number of advantages as well as disadvantage and
it is still mandatory that proper guidelines must be followed for having the registration under
Patent Act 1977.
