charity organisation in terms of corporate governance, mission statement, vision statement
and organisation structure.
1.1 Corporate Governance of MIND
‘’ Corporate governance refers to the way in which companies are governed and to what

run in such a way that it achieves its objectives. This could be to maximise the wealth of its

the other groups with an interest in what the company does’’ .( www.icsa.org.uk,2017)

MIND’s President: Stephen Fry became Mind's President in September 2011, taking
over from Lord Melvyn Bragg. Stephen has been a tireless campaigner, supporter
and advocate for everyone experiencing mental health problems. His 2006
documentary The Secret Life of the Manic Depressive detailed his own experience of
bipolar disorder as well as speaking to many others who shared his diagnosis. His
film helped raise awareness of an often misunderstood condition and challenged the
stigma surrounding mental health problems. Stephen was subsequently named the
2007 Mind Champion of the Year in a public vote.
MIND’s trustees: Mind is governed by a board of trustees, known as the Council of
Management, made up of 16 people drawn from Mind's membership and their
network of local Minds. Because Mind speaks for a diverse community, they aim to
have that diversity reflected in the Council of Management's membership, half of

of trustees is to ensure that the organisation is acting at all times in pursuit of its

2.1 Organisational structure of MIND
‘’Structure is an entity (such as an organization) made up of elements or parts (such as

structural relationship is one in which the various parts act upon each other, and
consequently generate particular types of behavior." (Fritz, 1996)
.
Mind (The National Association for Mental Health), referred to here as Mind, is a charity,
constituted as a company limited by guarantee and not having a share capital. Mind is
governed by a board of trustees forming the Council of Management, as constituted by
Mind’s Articles of Association. Members of Council are both trustees of the charity and
directors of the company.
Mind's consolidated figures include Mind, its wholly owned subsidiary Minds Matter (Trading
Activities) Limited, and connected trusts – the Elliott Charity and The Mary Hemingway Rees
Memorial Fund. Minds Matter (Trading Activities) Limited carries out the marketing,
distribution and sale of donated goods as agent for Mind and receives income from
Christmas card sales and other merchandise. The subsidiary does this through some 142
charity shops and gifts its profits to Mind. The Mind network consists of Mind together with
about 151 local Mind associations (local Minds) which are affiliated to Mind. The local Minds
are separate charities in their own right and are responsible for their own financial affairs and
statements. These statements do not include the local Minds’ accounts. The total gross
income of local Minds is some £92 million, which together with Mind’s gross income of £34
million gives the total Mind network gross income of £126 million.(MIND,2017)
A hierarchical organizational structure contains a direct chain of command from the top of
the organization to the bottom. Senior management makes all critical decisions, which are
then passed down through subsidiary levels of management. If someone at the bottom of
this organizational pyramid wants to make a decision, they pass the request up through the
chain of command for approval, for which a decision will eventually be returned. A
hierarchical structure operates well when there are few products that are sold in high
volume, so that tight control can be maintained over the design, quality, production, and
distribution of goods.( Accounting tools,2017)
MIND has a hierarchical organizational structure and this is a benefice structure because
there are a multitude of people and stakeholders which interact with MIND organisation.
