Overview of NDA: It is an agreement made between two or more parties involved in
business or contract or in any other context. It makes it mandatory for the parties to agree
that important and confidential information between the contracting parties and all the
parties involved in the process have control which information is being shared and how it is
being shared. However, any third parties out of the contract will not be allowed to access
these information and no parties involved in the contract has the right to share this
information to any third parties either without permission from all the parties involved in
the agreement.
Laws related to NDA in Australia: In Australia NDA provides organization and
individual context for protecting their original idea and important business secrets like trade
secrets, client information and vendor details. Breach of this agreement is subject to legal
review and if found guilty, disclosing party needs to provide monetary compensation along
with legal actions against the disclosing party violating the terms of the NDA agreement.
Application of NDA to ensure that ideas are not stolen: When an organization or an
individual presents a signed NDA document and make it legal, it is then available to them
to present that document any time during discussion of ideas with investors and potential

development ideas and any other important information that is essential for transforming
the start-up idea into an actual business. NDA provide power to start-ups to decide who
have authorities over their idea and who does not have. This helps in protecting business
ideas from being stolen and this is a significant issue for start-up companies.
2. Generate an NDA for a sample idea
MUTUAL NON-DISCLOSURE AGREEMENT
This Agreement is prepared and will be served as a NDA document between ABC
developers and digital fashion international. This agreement will come in affect after it signed by
both the parties.
It is important to recognize that confidential information include, but not limited to: (1)
business plans, methods, and practices; (2) personnel, customers, and suppliers; (3) inventions,
processes, methods, products, patent applications, and other proprietary rights; or (4)
specifications, drawings, sketches, models, samples, tools, computer programs, technical
information, or other related information;
Both the parties need to agree on the following things:
1. It is important to recognize that when treating an information to be confidential and while
disclosing that information to other parties, disclosing party needs to define this information
as confidential through written approval and notifying other party about the confidential
nature of the information.
2. When an information is designated as confidential through mutual acknowledgement, both
the parties are bounded not to disclose this information for a period of three years

3. Any party that disclose confidential information before termination of this agreement will
be subject to legal consequence and disclosing party have to pay for the damage done to
business of other party
4. none of the parties is allowed to disclose any of the terms described in the agreements to the
public without communicating with other parties
5. this agreement is valid for two years if not terminated with joint approval from both of the
parties

3. Provide a reflection
As discussed already, NDA legalises documents, ideas, and virtually anything depending on the
requirements off the individuals and organizations. Hence, anyone who thinks that their ideas are
original and worth considering for their business and accomplishment, NDA is a great option for
them.
I will consider NDA when I am designing a product and for that, I need to consult with fellow
designers for their feedback and suggestions for improvement of my design ideas. Now in this
context there is a chance of stealing of design draft and design specifications. As patients are often
complex and time consuming to acquire, NDA is a better option specially individuals that are
working with initial design ideas. Hence, I will consider NDA for designing of product to enhance
its authentication.
