The undersigned parties are examining the likelihood of engaging in a mutually profitable business
relationship. Each party, therefore, discloses to the other some confidential information in a bid to
further their Business Relationship.
NOW, THEREFORE, the parties do at this moment agree as follows:
I. Definition of Confidential Information
The parties shall maintain the confidentiality of the info be it written, oral or in any other form.
II. Disclosure of Confidential Information
Each party has the mandate to safeguard the confidentiality of any data, should the information
become public knowledge in whichever way even through carelessness or a third party lawfully
obtains it the confidential data should be returned without further ado to the interface designer.
III. Use of Confidential Information
Both the first and second party shall use the confidential data for the sole purpose of transacting
business only.
IV. Terms
All confidential information in this agreement is and will always remain the property of the
developer. The second party has no future claims of the confidential data. Upon discontinuation
of the agreement for any reason whatsoever, the sensitive data which is not authorized to use on
expiring should be returned to the developer.
V. Notice of Breach

NON DISCLOSURE AGREEMENT
The breaching and non- breaching party, will enjoin in a court of law in case of violation or
threats to violate this agreement by both parties. The infringing party will cater for all the costs
incurred including attorney's fees.
VI. No Binding Agreement for Transaction
Neither party is to be bound by any previously printed terms appearing in the other party's
acknowledgments, documents or any other instruments.
VII. Warranty
This agreement shall remain binding until further notice from the effective date.
