INTRODUCTIONContract and negligence law is developed by English law for the promotion of fairness incommercial agreements. In these legal provisions, description regarding general obligations ofparties is provided. These obligations are mandatory be complied whether there is absence orpresence of contractual relationship (Camenisch, 2011). Present study highlights differentaspects of contract and negligence law in order to provide justified recommendation to the givencase scenario. In this report description will be provided regarding basic principles of contractand negligence law along with the suitable case scenarios. TASK 11. Importance of essential elements required for the formation of valid contractAn agreement is considered as valid contract if following elements are present in it:ElementDescriptionCaseOffer Offer can be termed as expressionprovided by one party for enteringinto legal relationship (Elements of acontract, 2015). Provided offer mustbe supported by the intention toprovide performance if it is accepted.According to the case of Fisher v Bell[1961] 1 QB 394, invitation to treatdoes not consider as offer because it isway to invite other parties to provideoffer.AcceptanceIt is absolute and unconditionedconsent given by the party to whomoffer is provided (Adams, 2010).Acceptance must be communicatedto the offerree in reasonable timeperiod. As per the case of Felthouse vBindley [1862], mere silence cannotbe deemed as acceptance in anycontract.IntentionContracting parties must haveintention to create legal enforceableagreement to provide satisfactoryperformance.According to the case facts Balfour vBalfour [1919], this element is notassumed in charitable and domesticcontract because their agreement issupported by love and affection.3

ConsiderationContract created by parties must besupported by mutual exchange ofpromises (Desai, 2008). Further,consideration is required to movefrom the side of promisee. As per the case of Chappell v Nestle[1960] AC 87, consideration isrequired to be sufficient but it isneeded to be adequate. It is because,court of law is not interested inbargaining capacity of the parties.Privity ofcontract It is a legal doctrine which states thatthird party to the contract will not beentitled to make claim for thedamages in case of non-satisfactoryperformance of contracting parties.By considering the doctrine of privityof contract claim of third party wasnot considered by the court in the caseof Dunlop v Selfridge (1915).2. Impact and meaning of different types of contract Cited statement regarding type of contract is not true. It is because; English law statesthat all the contractual forms have different impact on the performance of parties. Explanation ofimpact of different types of contract is as follows:Unilateral contract Meaning- In unilateral contract, one party promises to provide benefit to another party inagainst of performance provided by them (Garriga, 2013). In such contract, offer isprovided to the general public by which each individual is entitled for the performance.Impact- In such contract, acceptor is not entitled for the performance but if they provideperformance then offering party will be liable to fulfil the promise made by them. Case- In accordance with the case of Carlil V Carbolic Smoke ball, if offering party denyfor the performance after completion of performance of acceptor then they will be liableto provide damages.Bilateral contract Meaning- In this type of contract, there is mutual exchange of promises by thecontracting parties (Keenan, 2012). Further, contract is created after the acceptance ofboth the parties on the described contractual terms. 4
