CONFIDENTIALITY AGREEMENT - OWNERSHIP AND USE OF RESULTS
Preamble
This Agreement is part of the continuity of the exchanges between the Company and the
School, within the framework of the work carried out by the Student, under the coordination of
the Company, in connection with its project of diploma to be carried out with a view to from
obtaining his Master Design Strategy. It is agreed as follows:
1. The confidential information accorded to students by the company through
the school is described as “confidential information”. This information shall include
tools, data provision, software rights and economic rights. The confidential information
herein shall also include the communication details between the parties involved and will
be marked as sensitive (Radac, 1994).
2. Recipients of this information shall only use it for the specified terms as agreed
between the parties under this agreement. This excludes using the information fraudulently and
for self-gain. This provision allows the school to frame the company-student relationship so as to
fulfil this purpose.
3. The school second recipient herein, shall restrict the disclosure of Confidential
Information to the student within the institution. This shall also be construed to mean that all
other employees with the institution shall not have access to the confidential information in any
kind of form (Harwood, 2006). The staff responsible for the educational objectivity will ensure
that it is done in line with the aforesaid agreement.

4. The company warrants that it has the right to make any disclosure of any nature under
this agreement. The discloser shall isolate defined a specified needs connected to educational
objective, which will aid in the student’s work. The company shall provide restricted access to
information necessary for the students to complete the requested work.
5. The Agreement shall not be deemed to be creating, granting or even conveying upon a
recipient any licence or authority relating to the information switched, except as specified by the
company. Any information regarding the transfer or any dealings affecting the information will
need a consent from the company.
6. The students under this agreement has the duty to satisfy obligation of means and
ensure that they provide quality work to the company. This includes providing creative work and
observe software rights of the company.
7. In case of a breach or likelihood of defying of any provision envisaged under this
agreement, it’s unequivocally agreed that the discloser is entitled to injunctive relief, this
agreement excludes remedy in money or damages.
8. This agreement supersedes any prior agreement, representations and interpretation
between the parties involved (Howard et al, 2003). Any alteration to this agreement herein will
be completed in writing and signed by the agents of concerned parties. This agreement is created
under the French law and will be understood in accordance to the laws governing France. In an
incident where this agreement is breached, all disputes shall be solved in a court of competent
jurisdiction in France (Harwood & Ashleigh, 2005).
9. It is agreed herein, that the result of the results of the diploma projects done by the
students, the stakeholders and the company as a result of collective work shall remain to be

exclusively owned by the company. However, this right does not limit the usage of the t
produced resources for the benefit of the students by the faculty. The property mentioned herein
extends to unlimited right over the intellectual property by the company. The company at its own
discretion may deposit in its name on its own expense, a patent application, models and drawings
but it will take all measures in relation to the results as a way of protecting itself.
10. Nevertheless, the result may be used freely to reproduce for student’s needs in
relation to the research. However, the student has to comply with the confidentiality terms and
conditions envisaged in this agreement during such usage. As envisaged in this agreement, the
student shall use this information for industrial or commercial purpose if the company herein has
not yet registered for the same under the specified duration. However, the student has to maintain
strictest confidentiality if this is granted.
11. The agreement requires the company to ensure that the students are completely
compensated a half percentage of the turnover in the event that this occurs. The company
expressly agrees to this given that it is a collective work done by the parties mentioned herein.
WHEREFORE, parties involved accept that they have gone through the agreement and
understood it and willingly accept the obligations and duties set forth herein. Read and
